JAS Assures a Dividend of ฿1.43 to Come after the AGM in a Later Date
JAS Assures the Dividend at ฿1.43 to Come after the Annual General Meeting, but in a Later Date due to the Current Outbreak of COVID-19.
Jasmine International Public Company Limited (JAS) has made an announcement regarding the scheduled 2020 Annual General Meeting of Shareholders (AGM) which will be held on Monday 27 April 2020 at 10.00hrs. at Auditorium, Jasmine International Tower, 3rd floor, No. 200, Moo 4, Chaengwatana Road, Pakkred Sub-district, Pakkred District, Nonthaburi 11120.
As the outbreak of the 2019 coronavirus (COVID-19) in Thailand has grown more severe and the government has requested that private sector carefully consider activities involving gatherings, which may promote person-to-person transmission of the virus. Based on the aforementioned reason, the Board of Directors, at the meeting No. 4/2020 held on 9 April 2020, has carefully and thoroughly considered all related matters and resolved to approve as follows:
1) Approve to postpone the 2020 AGM by cancelling the date and the agenda of the 2020 AGM which were scheduled on Monday 27 April 2020, including the Record Date to determine the names of the shareholders who are entitled to attend the 2020 AGM, formerly scheduled on Friday 27 March 2020. To this regard, the Board of Directorshas resolved to authorize the Chairman of the Board of Directors or any delegated person authorized by the Chairman of the Board of Directors to have the power to determine the date and the agenda of the 2020 AGM as deemed appropriate and in accordance with the aforementioned situation. TheBoard of Directorshas also resolved to approve the new Record Date to determine the names of the shareholders who are entitled to attend the 2020 AGM to be on Tuesday 21 April 2020.
2) Approve the interim dividend payment for the operation results of the year 2019 to the existing common shareholders of the total 8,314,955,764 shares, at the rate of 1.48 Baht per share (One Baht and forty-eight Satang), amounting to the total dividend payment of 12,306,134,530.72 Baht, equivalent to 79.96% of the net profit for the year 2019.
This rate, included by the rate of the interim dividend payment paid during the year 2019, on 24 December, 2019 at 0.30 Baht per share, resulting in the total dividend payment rate per share for the year 2019 of 1.78 Baht per share and the total dividend payment which is equal to 95.87% of the Company’s net profit for the year 2019, in line with the policy on dividend payment of the Company.
To this regard, the Record Date to determine the names of the shareholders who are entitled to receive the interim dividend is scheduled on Tuesday 21 April 2020 (remains unchanged) and the interim dividend payment date is scheduled onFriday 8 May 2020.
The Board of Directors has considered approving the interim dividend payment as detailed above instead of annual dividend payment as formerly intended to propose for the shareholders approval at the 2020 AGM and that JAS will not propose any other dividend payment for the year 2019 in the postponed 2020 AGM.
