“Sirivadhanabhakdi Family” Maintains AWC’s Major Shareholder after Making a Shareholder Restructure.


Asset World Corp Public Company Limited (AWC) announced that the company has been notified from its major shareholder group, Mr. Charoen Sirivadhanabhakdi and Khunying Wanna Sirivadhanabhakdi, that they have a plan to restructure AWC’s shareholding structure to be in accordance with long term investment plan.

After the transaction, both persons shall maintain the total shareholding proportion of the company’s shares to be the same, at 75 percent of the total issued and sold shares of the company.

 

First transaction
Mr. Charoen Sirivadhanabhakdi and Khunying Wanna Sirivadhanabhakdi shall transfer their total shares of AWC that they directly hold in the proportion of 27.56 percent and 19.13 percent of the total issued and sold shares of the company respectively to TCC Business Management Co., Ltd., a holding company which Mr. Charoen Sirivadhanabhakdi and Khunying Wanna Sirivadhanabhakdi directly and indirectly hold shares altogether in the proportion of 100 percent of the total shares.

The acquisition of shares will result in TCC Business Management Co., Ltd., holding 46.69 percent of the total issued and sold shares of AWC. As a result, TCC Business Management Co., Ltd. will be a major shareholder of the company.

Mr. Charoen Sirivadhanabhakdi and Khunying Wanna Sirivadhanabhakdi directly and indirectly hold shares in TCC Business Management Co., Ltd., altogether, in the proportion of 100 percent.

 

Second Transaction
TCC Group International Limited shall transfer its total shares of the company that they directly hold in the proportion of 28.31 percent of the total issued and sold shares of the company to TCC Corporation Co., Ltd., a holding company which Mr. Charoen Sirivadhanabhakdi and Khunying Wanna Sirivadhanabhakdi directly and indirectly hold shares altogether in the proportion of approximately 99.98 percent of the total shares.

The acquisition of shares will result in TCC Corporation Co., Ltd., holding 28.31 percent of the total issued and sold shares of the company. As a result, TCC Corporation Co., Ltd. will be a major shareholder of the company.

Mr. Charoen Sirivadhanabhakdi and Khunying Wanna Sirivadhanabhakdi directly hold shares in TCC Group International Limited altogether, in the total proportion of 100 percent.

 

After the shareholding restructure, AWC remains having the same Group of Major Shareholders as its Ultimate Shareholders, that are Mr. Charoen Sirivadhanabhakdi and Khunying Wanna Sirivadhanabhakdi.

The aforementioned shareholding restructure is exempted from making a tender offer for the total company’s shares according to the Notification of Capital Market Supervisory Board TorJor. 12/2554 Re: Rules, Conditions and Procedures for the Acquisition of Securities for Business Takeovers (including any amendment thereto).

 

Furthermore, AWC informed that the change in shareholdings structure of the Group of Major Shareholders has no impact on the company’s management structure, policies setting, and control over the management of the company.
